本文件目前仅提供英文版本,并以英文版本为准。
These Terms of Service ("Terms") are an agreement between you and BLENDDUCK LLC, a Wyoming limited liability company that operates ClipTap ("we", "us"), and govern your access to and use of the ClipTap website at https://cliptap.ai, the ClipTap application, its APIs and MCP server, and any related services (together, the "Service").
By creating an account, joining a workspace, or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and our Refunds and Cancellations policy. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to bind it, and "you" includes that organization.

1.The Service
ClipTap is a production workspace for AI video. It lets you write and import scripts, build a story bible, plan shot lists, generate images, video and audio with third-party AI models, arrange work on a canvas, review it with collaborators, and work with an AI agent that can read and change your projects on your instruction.
We may add, change, or remove features, and add or retire AI models, as the Service develops. If we remove a feature that is material to a paid plan, we will tell you in advance where reasonably possible.
2.Accounts and workspaces
You must be at least 18 years old, or the age of majority where you live, to use the Service. You must give accurate information when you sign up and keep it current. You are responsible for everything that happens under your account and for keeping your password and sign-in methods secure. Tell us at once at [email protected] if you believe your account has been compromised.
2.1.Workspaces and roles
Work in ClipTap happens inside workspaces. The person who creates a workspace is its owner. Owners and admins can invite people, assign roles (owner, admin, member, commenter, viewer, or guest), grant access to individual projects, and remove people. The workspace owner is responsible for the workspace, for its subscription and credits, and for the people they invite.
Content you add to a workspace can be seen and changed by other people according to the roles and project access the workspace grants. If you leave or are removed from a workspace, the content you added stays with that workspace.
3.Plans, billing, and renewal
ClipTap offers a free workspace and paid subscription plans. Current plans, prices, and included credits are listed on our pricing page. Prices are in US dollars and exclude taxes unless stated otherwise.
3.1.Payments through Stripe
Subscriptions and credit packs are sold, contracted, and invoiced by BLENDDUCK LLC. Payments are processed by our payment provider, Stripe. By subscribing or buying credits you also agree to Stripe's terms. We do not receive or store your full card number. Applicable sales tax, VAT, or GST may be calculated and added at checkout based on your location.
3.2.Auto-renewal
Subscriptions are billed in advance, monthly or yearly, and renew automatically at the end of each billing period at the then-current price until you cancel. We will give you advance notice of any price change, and the new price applies from your next renewal. If a payment fails, we may retry it and may pause paid features or the credit allowance until the balance is paid.
3.3.Plan changes
Upgrading to a larger plan, or from monthly to yearly billing, takes effect immediately and starts a new billing period; Stripe credits the unused portion of your current period against the new charge. Downgrading, or moving from yearly to monthly billing, takes effect at the end of the current billing period.
3.4.Cancellation
You can cancel a subscription at any time from your workspace's billing settings. Cancellation stops the next renewal; your plan and its credit allowance stay active until the end of the period you have paid for, after which the workspace returns to the free plan. Subscription fees are not refunded, in whole or in part, except as described in our Refunds and Cancellations policy.
4.Credits
Generating with AI models uses credits, so billing is based on usage. The number of credits a run uses depends on the model and what it produces, and is shown in the product before you run it.
- A new workspace starts without credits. Credits are bought as one-time credit packs; plans do not include credits.
- Credits bought as one-time credit packs never expire.
- Credits we grant may be limited to particular models and may carry an end date, both shown on the workspace's billing page. They are spent before other credits on those models; whatever of them is left after the end date expires.
- Credits belong to the workspace, not to an individual, and are used by the people the workspace allows to generate.
- Credits have no cash value, are not legal tender or property, cannot be sold, transferred between workspaces, or exchanged for money, and are not refundable, except as described in our Refunds and Cancellations policy. Expired credits are not refunded.
- If a generation fails because of an error on our side or the model provider's, the credits it reserved are returned to the workspace. This is a return of credits, not a refund.
We may change how many credits a model uses, for example when a provider changes its prices. Changes apply to runs started after the change.
5.Your content
"Your Content" means everything you or your workspace put into the Service — scripts, documents, prompts, uploads, reference images, comments — and the output the Service generates for you. As between you and us, you own Your Content, to the extent the law allows ownership of it.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content only as needed to operate, secure, and improve the reliability of the Service for you, and to send it to the AI model providers you choose to run. This license ends when Your Content is permanently deleted from the Service, except for copies in routine backups that expire on their normal schedule.
When you delete a project, it disappears from your view at once. We keep its data for 30 days and then permanently delete it. During those 30 days you cannot restore it yourself, but you can ask us to recover it by emailing [email protected].
We do not use Your Content to train AI models, and we do not sell it.
6.AI-generated output
Output is produced by third-party AI models from your prompts and references. It can be inaccurate, unexpected, or similar to output produced for others, and it may not be protectable by copyright in every country. Subject to these Terms and to the model provider's terms, we assign to you any rights we have in the output generated for your workspace.
You are responsible for how you use output: for reviewing it before you publish or deliver it, for having the rights to the prompts and reference material you supply (including the likeness and voice of any real person), for obtaining any clearances, releases, and licenses your production needs, and for labeling synthetic media where the law or a platform requires it.
7.Third-party models and services
ClipTap connects to AI models operated by third parties. When you run a model, the prompt, references, and settings for that run are sent to the provider that operates it, which processes them under its own terms and policies. Model availability, quality, speed, and content rules are set by those providers and can change. We are not responsible for a third-party provider's service, and we may disable a model that is unavailable, unsafe, or no longer offered.
The Service may also let you connect other third-party tools, for example through our MCP server. Your use of those tools is governed by their terms.
8.Acceptable use
You must follow our Acceptable Use Policy, which forms part of these Terms. In short: do not use ClipTap to create illegal content, sexual content involving minors, non-consensual intimate imagery, deceptive impersonations of real people, or content that infringes others' rights; do not attack, overload, scrape, or resell the Service; and do not try to get credits or access you haven't paid for.
9.Intellectual property
The Service — its software, design, text, graphics, and trademarks, excluding Your Content — belongs to us and our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Service except as the law expressly permits.
If you send us feedback or suggestions, we may use them without obligation to you.
If you believe content on the Service infringes your copyright, email [email protected] with the work, the location of the infringing material, your contact details, and a statement of good-faith belief. We respond to valid notices and may remove content and terminate repeat infringers.
10.Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or terminate your access, or a workspace, if you materially breach these Terms or the Acceptable Use Policy, if your use creates legal risk or harms other users or the Service, if payment is not made, or if the law requires it. Where reasonable we will give notice and a chance to fix the problem first; we may act immediately for serious violations such as illegal content.
When you delete your account, it disappears from view at once. We keep its data for 30 days and then permanently delete it; during that time you can ask [email protected] to recover it, but you cannot restore it yourself. Deleting an account does not refund any subscription fee or credits.
When we terminate an account or workspace, we may delete its content after a reasonable period. Sections that by their nature should survive termination — including content licenses needed to wind down, payment obligations, disclaimers, limitation of liability, indemnity, and governing law — survive.
11.Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PURPOSE, OR THAT OUTPUT WILL NOT INFRINGE THIRD-PARTY RIGHTS.
12.Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (US$100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, or your rights as a consumer under mandatory law.
13.Indemnity
You will defend and indemnify us, and our officers, employees, and agents, against third-party claims, and the resulting losses and reasonable costs, arising from Your Content, your use of output, or your breach of these Terms or the Acceptable Use Policy.
14.Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Disputes will be heard exclusively in the state and federal courts located in Wyoming, and both parties consent to their jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws, and access to the courts, of the country where you live.
Before filing a claim, please contact us at [email protected] so we can try to resolve it informally.
15.Changes and general terms
We may update these Terms. We will post the new version here and update the date above, and for material changes we will notify workspace owners by email or in the product at least 14 days before they take effect. If you keep using the Service after changes take effect, you accept the updated Terms; if you do not agree, stop using the Service and cancel your subscription.
These Terms, together with the policies they reference, are the entire agreement between you and us about the Service. If a provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
